CoreCast Terms of Service

1. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use CoreCast.

By using the Platform, you represent and warrant that you have the authority and legal capacity to enter into these Terms.

2. User Data and Public Availability

Any information, content, files, or materials you upload, input, or provide through the Platform ("User Data") may be made publicly available.

If you elect not to share your data with CoreCast's training model, CoreCast will not use such data for training purposes. However:

• Your data will still be processed and stored in a cloud-based environment.
• Cloud storage carries inherent risks of exposure, unauthorized access, and disclosure.
• CoreCast makes no guarantee that your data will remain private or confidential.

By using the Platform, you assume all risk of data disclosure.

3. Model Outputs and Accuracy

The Platform may produce reports, analytics, charts, projections, forecasts, or other information ("CoreCast Outputs").

CoreCast Outputs are provided strictly "AS IS" and "AS AVAILABLE."

CoreCast makes no representation or warranty regarding the accuracy, completeness, reliability, timeliness, or suitability of CoreCast Outputs.

You are solely responsible for independently verifying any CoreCast Outputs before using them for financial, investment, business, or legal purposes. Reliance on CoreCast Outputs is at your own risk.

4. Third-Party Data

Users may upload or connect third-party data sources (e.g., market data feeds, spreadsheets, or service provider content).

CoreCast does not verify, audit, or control third-party data.

CoreCast disclaims all liability for the validity, legality, accuracy, or reliability of third-party data.

Prohibited Use: You may not upload, share, or otherwise provide to CoreCast any data obtained from third-party providers where such use would violate the terms of the provider's license, subscription, or contractual restrictions. You are solely responsible for ensuring that you have the necessary rights, permissions, and licenses to upload any third-party data into CoreCast.

CoreCast reserves the right (but has no obligation) to remove or block access to any data it reasonably believes violates third-party licensing terms or applicable law.

5. No Professional Advice

CoreCast does not provide investment, financial, accounting, tax, or legal advice.

Nothing in CoreCast Outputs should be interpreted as professional advice.

You must consult your own qualified advisors before making decisions based on CoreCast Outputs.

Managed Service Option: CoreCast may offer, at its sole discretion, a managed service where a CoreCast team member operates or manages your account on your behalf. You remain fully responsible for all use of the account, and CoreCast disclaims liability for any errors, omissions, or reliance on outputs generated under this service.

6. Intellectual Property

CoreCast and its licensors retain all rights, title, and interest in and to the Platform, including all software, features, designs, trade secrets, and intellectual property.

You retain ownership of your User Data but grant CoreCast a worldwide, non-exclusive, royalty-free license to process, store, transmit, and display such data as necessary to operate the Platform.

You may not copy, modify, reverse-engineer, sell, or distribute any part of the Platform without express written consent from CoreCast.

7. Acceptable Use

You agree not to:

• Use the Platform for unlawful, harmful, or fraudulent purposes.
• Upload or share content that infringes on intellectual property rights, violates privacy, breaches confidentiality, or contravenes third-party licensing agreements.
• Attempt to gain unauthorized access to the Platform or interfere with its operation.

8. Limitation of Liability

To the maximum extent permitted by law:

• CoreCast and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data, or goodwill.
• In no event shall CoreCast's total liability exceed the amount you paid (if any) to use the Platform in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless CoreCast, its affiliates, and their officers, employees, and contractors from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of the Platform;
• Your reliance on CoreCast Outputs;
• Your User Data or third-party data you provide;
• Any violation of third-party licensing or contractual restrictions.

10. Suspension and Termination

CoreCast may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or harms the Platform.

Upon termination, your access to the Platform will cease, but provisions regarding intellectual property, disclaimers, limitations of liability, and governing law will survive.

Force Majeure — CoreCast shall not be liable for delays, failures, or interruptions caused by events beyond its reasonable control, including natural disasters, cyberattacks, or failures of third-party hosting providers.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes shall first be subject to binding arbitration in accordance with the rules of the American Arbitration Association. If arbitration fails, disputes may be resolved in the courts located in Florida.

You waive the right to a jury trial and agree that the losing party in litigation shall pay the prevailing party's legal costs and fees.

Class Action Waiver — You agree that any claims against CoreCast must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

12. Modifications

CoreCast reserves the right to modify or update these Terms at any time.

Changes are effective when posted on the Platform. Continued use after modifications constitutes acceptance of the updated Terms.

13. No Refunds

All fees, charges, and payments made in connection with the Platform are non-refundable, non-cancellable, and non-creditable under any circumstances, including but not limited to account termination (whether voluntary or involuntary), suspension, interruption of services, or dissatisfaction with the Platform or CoreCast Outputs.

By using the Platform, you expressly acknowledge and agree that you shall not be entitled to any refund, rebate, offset, or return of fees paid, regardless of the reason.
